Special Meeting of Members

Both the MFDA and IIROC held a Special Meeting of Members on September 29, 2022. At the meetings both organizations’ members were asked to vote on a special resolution approving the amalgamation of the MFDA and IIROC under the Canada Not-for-profit Corporations Act. To be carried, the special resolutions require approval of not less than two-thirds of the votes cast by members present, in person or virtually, or represented by proxy at each respective meeting.

All votes cast have been tabulated by TSX Trust Company scrutineers. More than two-thirds of votes were cast FOR the special resolutions by members of each organization present, in person or virtually, or represented by proxy at each respective meeting. As such the special resolution approving the amalgamation has received approval from members of both organizations.
